Welcome to Agropur cooperative (hereafter “Agropur”) extranet site (the “Portal”). Use of the Portal is subject to the following terms. You must agree to the terms of use before entering the Portal. Agropur may modify these terms, the Portal or the information contained therein at any time without notice. By using the Portal, you agree to being bound by these terms.
1. Access and passwords
To access the Portal, you will have to log in with the user ID Agropur sent you and a password you will have to create. YOU ARE RESPONSIBLE FOR ENSURING YOUR ACCOUNT AND PASSWORD REMAIN CONFIDENTIAL, AND FOR LIMITING ACCESS TO YOUR COMPUTER. Agropur shall not be liable in any way whatsoever for unauthorized access to the Portal with your user ID and password. Agropur recommends you change your password at least every three months in order to reduce the risk of unauthorized access. Agropur also recommends you clear your browser's cache memory if you share or use your computer with someone else. Be careful when browsing the Portal not to disclose any confidential or sensitive information. You herewith agree to change your password immediately upon learning or suspecting that your account has been used without your consent.
Any information you disclose through the Portal must be accurate, current and complete.
Agropur may refuse you access to the Portal or any of its other resources or suspend or terminate your account for any reason at its sole discretion, including where Agropur believes you have violated the terms herein. You agree that Agropur shall not be liable to you or any other person as a result of said suspension or termination.
2. Intellectual property and restrictions
The content provided through the Portal is the property of Agropur, its affiliates, partners or licensees, and is protected by virtue of the various copyright and trademark laws and other intellectual property rights.
Trademarks, logos and brand names appearing in the Portal (hereafter referred to collectively as “trademarks”) are either owned by Agropur or used under license. Nothing contained in the Portal shall be construed as granting any right to use any of the trademarks without the written permission of Agropur or such party that may own the trademarks.
Content obtained through this Portal may not be copied, reproduced, edited, downloaded to a server, posted, modified, transmitted, distributed, displayed on a screen, reformatted or printed, except in compliance with applicable laws and as authorized pursuant to any prior arrangements with Agropur.
You agree that you shall not in any way modify, move or delete any of the information found in the Portal, nor shall you manipulate, decompile, reverse engineer, disassemble, unlawfully use or reduce said information. You also agree that you shall not circumvent or attempt to circumvent, jeopardize or attempt to jeopardize the security measures in effect.
3. Content
While Agropur endeavours to ensure the accuracy, quality, relevance and completeness of the information found in the Portal, no warranty is given as to its accuracy, quality, relevance and completeness. Agropur, its management, employees, affiliates, partners, consultants, agents and suppliers shall not in any way be liable for any damages resulting from the use of information found in this Portal. The Portal may contain information that is outdated and as a result be inaccurate. Agropur shall periodically and without notice modify, improve or update the information made available through the Portal.
Without restricting the generality of the foregoing, Agropur does not warrant the accuracy of the weather tool found in the Portal, which is provided as a courtesy. Also, the “delivery calculator” tool, useful for estimating the milk volume that can be produced based on a variety of parameters, is provided for information purposes only, and Agropur waives all liability concerning the accuracy of the data generated by said tool and any projections resulting therefrom. Also, meetings and other assemblies posted on the events calendar may be modified without notice.
The content published and released through the Portal reflects the authors’ knowledge of the appropriate sector and topic at the time of writing. Said knowledge can change with time and users are urged to validate the accuracy of the information presented on their own.
Agropur also provides useful information related to milk production, e.g. milk quality standards, explanatory guides, news, reports, ads, events and other content found in the Portal. This content may be inaccurate or outdated and is subject to change at all times without notice. Agropur shall not be liable in any way for content provided for information purposes.
The content found in the Portal may not interpreted as advice of any kind, whether agronomic, financial, investment, legal or otherwise. NORMALLY, THE INFORMATION IS POSTED ONLINE ON A PERIODIC BASIS ACCORDING TO THE AVAILABILITY OF THE INFORMATION AND AGROPUR’S BUSINESS PROCESSES. PLEASE FACTOR IN THIS DELAY WHEN CONSULTING INFORMATION IN THIS PORTAL.
IT IS POSSIBLE YOUR STATUS WITH AGROPUR WILL PREVENT YOU FROM ACCESSING SOME SECTIONS OF THE PORTAL. FOR EXAMPLE, A USER WHO BECOMES STRICTLY A SHAREHOLDER OR WHO REPRESENTS AN ENTITY THAT BECOMES STRICTLY AN SHAREHOLDER WILL NO LONGER BE ENTITLED TO ACCESS CERTAIN SECTIONS SOME TIME AFTER BECOMING STRICTLY A SHAREHOLDER OR REPRESENTING AN ENTITY HAVING BECOME STRICTLY A SHAREHOLDER. ALSO, YOUR ACCESS TO THE PORTAL SHALL BE AUTOMATICALLY RESCINDED SOME TIME AFTER YOU REDEEM YOUR FINAL SHARES.

5. Disclaimer of warranty and limitations of liability
To the fullest extent permitted by applicable law, Agropur neither warrants nor makes any representation regarding the service, including that the Portal shall meet the user’s requirements, that service shall be uninterrupted, that it shall be problem or error free, or that all errors shall be rectified. Agropur provides this service on “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Agropur’s warranties and remedies (if any) expressly set forth herein are exclusive and are in lieu of all other warranties, express or implied, either in fact or by operation of law, including warranties with regard to the quality of the Portal, its availability, compatibility, adaptability to the user’s requirements and non-infringement, all of which are expressly disclaimed.

7. Applicable laws
These Terms of Use shall be governed and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable herein. The courts of the district of Longueuil, Province of Québec, shall have exclusive jurisdiction over all disputes.
8. No waiver
Agropur will not be considered to have waived any of its rights or remedies described in these Terms unless the waiver is in writing and signed by Agropur. No delay or omission by Agropur in exercising its rights or remedies will impair or be construed as a waiver of its right to enforce such rights.
